These Terms of Service (“Terms”) govern your access to and use of the BrandBridge platform (“Platform,” “Service”), operated by BrandBridge LLC (“BrandBridge,” “we,” “us,” or “our”), located in New York, USA.
By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. About BrandBridge
BrandBridge is a platform that connects brands with content creators for paid collaborations. The Platform enables brands to create campaigns, define deliverable packages, and manage creator relationships. Creators can browse campaigns, apply to opportunities, and manage their collaborations through the Platform.
2. Eligibility
You must be at least 18 years old to use BrandBridge. By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Accounts
3.1 Account Creation
You create an account by signing in with your Google account. You are responsible for maintaining the security of your Google account and any activity that occurs through your BrandBridge account.
3.2 Account Types
BrandBridge offers two account types:
- Brand Accounts — for businesses and marketers managing campaigns and creator collaborations.
- Creator Accounts — for content creators browsing campaigns and managing collaborations.
You must select your account type during onboarding. You may not misrepresent your identity or account type.
3.3 Account Information
You agree to provide accurate, current, and complete information during onboarding and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain materially inaccurate information.
3.4 Account Security
You are responsible for all activity under your account. Notify us immediately at brandbridge.ceo@gmail.com if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
- Misrepresent your identity, account type, affiliation, qualifications, or follower metrics.
- Submit false, misleading, or fraudulent campaign details, compensation offers, or creator profiles.
- Harass, abuse, threaten, or intimidate other users through the Platform's messaging or invitation features.
- Send unsolicited bulk invitations or messages (spam) through the Platform.
- Attempt to access another user's account or data without authorization.
- Interfere with or disrupt the Platform's infrastructure, servers, or networks.
- Scrape, crawl, or use automated means to extract data from the Platform without our written consent.
- Reverse engineer, decompile, or attempt to derive the source code of the Platform.
- Use the Platform to collect personal information about other users for purposes unrelated to Platform collaborations.
- Upload malicious files, viruses, or harmful code.
- Circumvent any access restrictions, rate limits, or security measures.
We reserve the right to suspend or terminate accounts that violate these rules.
5. Campaigns and Collaborations
5.1 Platform Role
BrandBridge is a marketplace that facilitates connections between brands and creators. We are not a party to any agreement between brands and creators. We do not guarantee the quality, safety, legality, or fulfillment of any campaign, deliverable, or compensation arrangement.
5.2 Brand Responsibilities
Brands are responsible for:
- Providing accurate and complete campaign details, including deliverable requirements and compensation terms.
- Honoring compensation terms agreed upon with creators through the Platform.
- Complying with all applicable advertising laws, including FTC disclosure requirements.
5.3 Creator Responsibilities
Creators are responsible for:
- Providing accurate profile information, including social media metrics and audience data.
- Delivering agreed-upon content on time and to the specifications outlined in the collaboration.
- Complying with all applicable advertising disclosure laws and platform-specific content policies.
5.4 Compensation
BrandBridge tracks compensation amounts as part of collaboration management but does not process payments between brands and creators. All payments are arranged and settled directly between the parties outside the Platform. BrandBridge is not responsible for any payment disputes between brands and creators.
5.5 Disputes Between Users
Disputes between brands and creators regarding campaigns, deliverables, or compensation are between those parties. While we may offer tools to help manage collaborations, we are not obligated to mediate or resolve disputes. We encourage parties to communicate through the Platform and resolve issues in good faith.
6. Third-Party Integrations
6.1 Connected Services
The Platform offers optional integrations with third-party services, including:
- Instagram — to import follower metrics and social media data.
- Gmail — to track email communications related to collaborations.
- Google Calendar — to sync campaign and deal dates to your calendar.
6.2 Third-Party Terms
Your use of third-party integrations is subject to those services' own terms and privacy policies. BrandBridge is not responsible for the availability, accuracy, or conduct of any third-party service. You may disconnect integrations at any time through your account settings.
7. Intellectual Property
7.1 Platform Content
The Platform, including its design, features, and code, is owned by BrandBridge LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our written consent.
7.2 User Content
You retain ownership of content you submit to the Platform (profile information, campaign descriptions, messages, etc.). By submitting content, you grant BrandBridge a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating and improving the Platform.
7.3 Creator Content
Content produced by creators as part of collaborations is governed by agreements between brands and creators. BrandBridge does not claim ownership over any content created through collaborations arranged on the Platform.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
9. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Platform will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any information provided by other users on the Platform.
10. Limitation of Liability
To the maximum extent permitted by law, BrandBridge LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform.
Our total aggregate liability for any claims arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred dollars ($100).
11. Indemnification
You agree to indemnify and hold harmless BrandBridge LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any third party's rights.
- Any content you submit to the Platform.
- Any collaboration or dispute between you and another user.
12. Termination
12.1 By You
You may stop using the Platform at any time. To delete your account, contact us at brandbridge.ceo@gmail.com.
12.2 By Us
We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or if we discontinue the Platform. Upon termination, your right to use the Platform ceases immediately.
12.3 Effect of Termination
Sections that by their nature should survive termination will survive, including Sections 7, 9, 10, 11, and 14.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws provisions.
Any disputes arising out of or related to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in New York, New York. You agree to waive any right to a jury trial or to participate in a class action.
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction.
15. General
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BrandBridge regarding the Platform.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
- Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
- Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
- Notices. We may send notices to the email address associated with your account. You may send notices to brandbridge.ceo@gmail.com.
